A Charter Specialist III is the full performance level of administrative and legal work involving the examination, evaluation and processing of articles of incorporation, and other corporate documents for compliance with Maryland State laws. Employees in this classification do not supervise other positions, but may provide guidance to lower level Charter Specialists.
Employees in this classification receive general supervision from the Assistant Corporate Administrator.
Positions in this classification are evaluated using the classification job evaluation methodology. The use of this method involves comparing the assigned duties and responsibilities of a position to the job criteria found in the Nature of Work and Examples of Work sections of a class specification.
The Charter Specialist I, Charter Specialist II and Charter Specialist III are differentiated on the basis of the degree of supervisory control exercised by the supervisor over these employees. The Charter Specialist I learns to perform the duties under close supervision. The Charter Specialist II performs the duties under close supervision at times and general supervision at other times depending upon the complexity of the specific duty being performed. The Charter Specialist III performs the full range of duties and responsibilities under general supervision.
Examines articles of incorporation, mergers, transfers, dissolutions and other corporate documents to determine legal sufficiency and conformity with State laws;
Interprets annotated codes and Maryland case law in order to insure legal sufficiency of various corporate documents;
Communicates with corporate officials, attorneys and the public regarding statutory and regulatory sufficiency of charters and other documents;
Processes approved documents to be recorded;
Disapproves documents and prepares explanations of legal insufficiencies;
Advises corporations and organizations on filing procedures and requirements;
Coordinates activities with other divisions concerning payment of certain taxes;
Drafts recommended changes in law;
Performs other related duties.
Knowledge of corporation and association law, financial institution law, commercial law, tax property law and administrative law;
Knowledge of departmental policies and procedures regarding the submission of legal documentation;
Skill in the application of laws and policies to corporate charters and documents;
Skill in examining corporate charters and other documents for legal sufficiency;
Ability to exercise tact and judgment in communications with corporate officials, attorneys or the general public.
Education: Possession of a Juris Doctor degree or equivalent degree from an accredited law school.
Experience: Two years of experience examining articles of incorporation or other corporate documents for compliance with Maryland State Corporation laws.
Note: Applicants may substitute experience in examining or processing articles of incorporation or other corporate documents for compliance with State or federal corporation laws on a year-for-year basis for the required education.

This is a Professional Service classification in the State Personnel Management System. All positions in this classification are Professional Service positions. Some positions in Professional Service classifications may be designated Special Appointment in accordance with the State Personnel and Pensions Article, Section 6-405, Annotated Code of Maryland.
This classification is assigned to Bargaining Unit G, Engineering, Scientific and Administrative Professionals classes. As provided by the State Personnel and Pensions Article, Section 3-102, special appointment, temporary, contractual, supervisory, managerial and confidential employees are excluded from collective bargaining. Additionally, certain executive branch agencies are exempt from collective bargaining and all positions in those agencies are excluded from collective bargaining.
This classification is one level in a Non-Competitive Promotion (NCP) series. NCP promotions are promotions by which employees may advance in grade and class level from trainee to full performance level in a classification series. In order to be non-competitively promoted to the next level in a NCP series, an employee must: 1) perform the main purpose of the class, as defined by the Nature of Work section of the class specification; 2) receive the type of supervision defined in the class specification and 3) meet the minimum qualifications of the classification.
